These Terms & Conditions ("Terms") are a legal agreement between you and ROCloud, having its place of business at Kothariya, Wadhwan, Surendranagar, Gujarat, India – 363030 ("ROCloud", "we", "us", or "our"), governing your access to and use of the ROCloud platform, websites, applications, and related services available at https://rocloud.in and its subdomains (collectively, the "Service").

By registering for, accessing, or using the Service, you ("you", "your", the "Subscriber", or "Tenant") agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. If you accept these Terms on behalf of a business, you represent that you are authorised to bind that business.


1. About the Service

ROCloud is a cloud-based, software-as-a-service ("SaaS") platform that helps reverse-osmosis (RO) water-delivery businesses manage customers, orders, deliveries, inventory, invoicing, payments, and reporting. Features are provided on an as-available basis and the set of features included in your plan may change; features described as forthcoming are not part of the current Service. ROCloud provides software only. ROCloud does not sell, supply, bottle, or deliver water or any physical goods, and is not a party to any transaction between you and your own customers.

3.1 You must be at least 18 years old and legally able to enter into a binding contract under Indian law to use the Service.

3.2 You are responsible for providing accurate registration information and for keeping it up to date.

3.3 You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. Notify us immediately at support@mail.rocloud.in if you suspect any unauthorised access.

3.4 You are responsible for the acts and omissions of your Authorised Users, who must comply with these Terms.

4. Free trial

4.1 We may offer a free trial (currently 14 days) for new Subscribers. The trial gives access to the Service without charge for the trial period.

4.2 At the end of the trial, you must select and pay for a plan to continue using paid features. If you do not, your account may be limited, suspended, or eventually deleted in accordance with Section 12 and our data-retention practices.

5. Plans, subscriptions and renewals

5.1 Paid features are provided under subscription plans (for example, Starter, Basic, Pro, and Enterprise), each with its own features, limits, and price shown on our pricing page or within the Service at the time of purchase.

5.2 Subscriptions run for the billing period you select (monthly or yearly). Access to plan features is granted for the period you have paid for.

5.3 Renewals are not automatic within the app. Unless stated otherwise at checkout, your Subscription does not auto-renew, and you must actively renew or pay for the next period to continue paid access. If any auto-renewal option is offered in future, it will be clearly disclosed and require your consent.

5.4 We may change plans, features, and pricing from time to time. Changes to pricing will not affect a period you have already paid for; they apply from your next renewal, and we will give you reasonable notice.

6. Fees, payment and taxes

6.1 You agree to pay all fees for the plan you select, in Indian Rupees (₹/INR), through the payment methods we make available.

6.2 Online payments are processed by our third-party payment gateway, Razorpay Software Private Limited ("Razorpay"). By paying online you also agree to Razorpay's applicable terms. We do not store your full card details on our servers; card data is handled by the gateway in accordance with applicable card-network and regulatory requirements.

6.3 All fees are exclusive of applicable taxes (such as GST) unless stated otherwise. You are responsible for any taxes, duties, or levies imposed on your purchase, except taxes on our net income.

6.4 If a payment fails or is reversed, we may suspend or limit paid access until payment is successfully made.

6.5 Refunds, where available, are governed by our Refund Policy. Cancellations are governed by our Cancellation Policy.

7. Overdue accounts and paywall

If your Subscription lapses or a payment is overdue, the Service may move your account through graduated states (for example, "Overdue" and then "Suspended") and may restrict access to paid features. To let you resolve billing, we will continue to allow access to the billing and payment areas of the Service so that you can renew. We will make reasonable efforts to notify you before restricting access.

8. Your responsibilities and acceptable use

8.1 You are solely responsible for Subscriber Data and for the lawfulness of collecting, storing, and using it — including obtaining any consents required from your End Customers.

8.3 You must comply with all applicable laws in your use of the Service, including consumer, tax, telecom/messaging, and data-protection laws.

9. Subscriber Data and privacy

9.1 As between you and us, you own your Subscriber Data. You grant us a limited licence to host, process, and transmit Subscriber Data solely to provide, secure, support, and improve the Service.

9.2 In respect of End Customer personal data, you act as the data fiduciary / controller and we act as your data processor, processing such data on your instructions. Our handling of personal data is described in our Privacy Policy.

9.3 You are responsible for maintaining your own copies/exports of important data. While we take reasonable measures to protect and back up data, you should not rely on the Service as your sole record.

10. Service availability and support

10.1 We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or reasons beyond our control.

10.2 Support is provided through the channels listed on our Contact page during our stated business hours.

11. Intellectual property

11.1 The Service, including its software, design, text, graphics, logos, and the "ROCloud" name and marks, is owned by or licensed to us and is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

11.2 If you provide feedback or suggestions, you grant us a perpetual, royalty-free right to use it to improve the Service, without obligation to you.

12. Suspension and termination

12.1 You may stop using the Service and cancel your Subscription at any time as described in the Cancellation Policy.

12.2 We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties.

12.3 On termination, your right to use the Service ends. We may delete Subscriber Data after a reasonable retention period; you should export any data you wish to keep before termination takes effect. Provisions that by their nature should survive termination (including Sections 6, 9, 11, 13–16) will survive.

13. Disclaimers

13.1 The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13.2 ROCloud is a tool to help you run your business. We do not warrant that the Service will meet every requirement, produce error-free invoices/reports, or comply with the specific legal or tax obligations of your business. You are responsible for verifying outputs before relying on them.

14. Limitation of liability

14.1 To the maximum extent permitted by law, we, our proprietor, and our personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service.

14.2 Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the total fees actually paid by you to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

14.3 Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Subscriber Data, your use of the Service, your violation of these Terms, or your violation of any law or third-party right (including the rights of your End Customers).

16. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any applicable arbitration or consumer law, the courts at Surendranagar, Gujarat, India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, provide reasonable notice (for example, by email or an in-app notice). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
